Terms & Conditions

These Terms govern your use of Quick Splits (the "Service"), a web application for creating, signing, and distributing composition and publishing split sheets. The Service is provided by AB Entertainment LLC ("we", "us", "our"), and you are contracting with AB Entertainment LLC.

1. Acceptance

By creating an account, purchasing, or continuing to use the Service, you agree to these Terms. If you use the Service on behalf of a company or label, you confirm you have authority to bind that organization. If you use it as an individual, you confirm you are of legal age to form a binding contract.

2. The Service

Quick Splits lets you enter song and collaborator information, calculate writer and publisher shares, capture electronic signatures, generate PDF split sheets, and share them with collaborators. We provide software only. We are not a party to your split sheets, we do not provide legal advice, and split sheets generated with the Service are agreements between you and your collaborators.

3. Accounts

• You must provide accurate information and keep it up to date.
• You are responsible for keeping your credentials confidential and for all activity under your account.
• You are responsible for the accuracy of the split data and signatures you collect.

4. Acceptable use

You must not misuse the Service. In particular, you must not:

• use the Service for unlawful purposes, fraud, or spam;
• forge, impersonate, or collect signatures without the signer's authorization;
• infringe anyone's intellectual property or privacy rights;
• upload malware, probe, scrape, or otherwise interfere with the security or integrity of the Service;
• reverse engineer, resell, redistribute, or circumvent technical limits of the Service.

5. Licence and intellectual property

We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. We retain all ownership of the Service, including its software, documentation, and branding. You keep ownership of the content you enter; you grant us a limited licence to host and process that content solely to provide the Service to you.

6. Service level

We work to keep the Service available, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

7. Payments, subscriptions, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, renewal, cancellation, tax, and refund mechanics are governed by Paddle's Buyer Terms and by our Refund Policy. Subscriptions renew automatically until cancelled; you can cancel at any time from the Billing tab in your account.

8. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination you may export your split sheets for 30 days, after which we may delete your data.

9. Liability

To the fullest extent permitted by law, our aggregate liability arising out of the Service is limited to the fees you paid in the 12 months before the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing excludes liability for fraud, death, or personal injury where the law does not permit exclusion.

10. Indemnity

You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. General

These Terms are governed by the laws of the State of California, USA, and disputes will be heard in the courts of that jurisdiction. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. We may update these Terms and will post the revised version here.
